1. About WebTech I.T. Solutions

WebTech I.T. Solutions provides professional services including but not limited to:

• Digital Marketing Services
• Graphic Design
• Software and IT Solutions
• Technical Support and Maintenance

2. Service Agreement

All projects and services provided by WebTech I.T. Solutions are subject to a separate quotation, proposal, invoice, service agreement, or contract where applicable.

The scope of work, pricing, project timelines, and deliverables shall be governed by the agreed service proposal.

Any additional work requested outside the approved scope may be subject to additional fees.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for project completion.
• Supply required content, images, logos, credentials, and materials on time.
• Review and provide feedback within a reasonable period.
• Maintain confidentiality of login credentials provided by WebTech.
• Ensure that all submitted materials do not violate any laws or third-party rights.

Project delays caused by late submissions, approvals, or lack of communication may result in timeline adjustments.

4. Payments and Billing

All services are subject to the pricing stated in the approved quotation or invoice.

Payment Terms

• Payments must be made according to the agreed schedule.
• Deposits and down payments are generally non-refundable once project work has commenced.
• Outstanding balances must be settled before final turnover, deployment, or release of project files unless otherwise agreed.

Taxes

All services provided by WebTech I.T. Solutions shall be subject to the applicable 12% Value-Added Tax (VAT) and other government-mandated taxes where required.

Late payments may result in service suspension, project delays, or additional administrative charges.

5. Intellectual Property

Unless otherwise agreed in writing:

• Clients retain ownership of content, trademarks, and materials they provide.
• WebTech retains ownership of proprietary tools, source code frameworks, templates, methodologies, and intellectual property developed prior to the engagement.
• Upon full payment, clients receive the rights specified in the service agreement.

WebTech reserves the right to display completed projects in its portfolio, marketing materials, and case studies unless restricted by a written confidentiality agreement.

6. Website Hosting and Third-Party Services

Certain services may involve third-party providers including:

• Hosting companies
• Domain registrars
• Payment processors
• Software vendors
• Social media platforms

WebTech is not responsible for outages, policy changes, service interruptions, or actions taken by third-party providers beyond our control.

Third-party fees are subject to the terms and conditions of those providers.

7. Revisions and Change Requests

Reasonable revisions included in the project package will be honored according to the agreed scope.

Additional revisions, redesign requests, or changes beyond the approved scope may incur additional charges and may affect project timelines.

8. Service Suspension, Withholding of Deliverables,and Termination

WebTech I.T. Solutions reserves the absolute right, at its sole discretion, to suspend services /or hold any of deliverables/or access transfer, project deliverables, restrict access to completed work, or terminate any service agreement without prior notice in the event that: 

(a) the Client fails to make payment of any reserve services (slot) or/ any outstanding invoice, fee, or charge beyond the agreed payment terms; 

(b) the Client engages in any unlawful, fraudulent, defamatory, or prohibited activity; 

(c) the Client breaches any provision of these Terms and Conditions or any related service agreement; or 

(d) the continuation of the services would expose WebTech I.T. Solutions to legal liability, regulatory violations, reputational harm, cybersecurity threats, ethical concerns, or other material risks.

In the event of suspension or termination, all unpaid balances, fees, expenses, and other amounts owed by the Client shall become immediately due and payable. 

WebTech I.T. Solutions shall have no obligation to release, transfer, publish, deploy, deliver, or provide access to any project files, source code, website, hosting account, digital assets, credentials, designs, content, or completed work until all outstanding financial obligations have been satisfied in full. Furthermore, WebTech I.T. Solutions reserves the right to pursue all available legal and equitable remedies for the recovery of unpaid amounts and the enforcement of its contractual rights.

9. Unpaid Balances, Reservation Fees, and Withholding of Services

a. Interest on Overdue Accounts

Any invoice, balance, or financial obligation that remains unpaid beyond seven (7) calendar days from its due date shall automatically incur a late payment charge equivalent to fifteen percent (15%) of the outstanding balance. Such interest shall accrue without the need for further demand and shall continue until the account is paid in full.

b. Reserved Service Slots and Commitment to Pay

Any service slot, schedule, resource allocation, project timeline, personnel assignment, marketing campaign allocation, development queue, or similar reservation confirmed by the Client, whether verbally, electronically, through messaging platforms, email correspondence, purchase order, quotation approval, down payment, or any other form of confirmation, shall constitute a binding reservation of services. Upon confirmation of such reservation, WebTech I.T. Solutions shall be deemed to have allocated resources and commenced preparations for the requested service. Accordingly, the Client shall remain fully liable for the reserved service, regardless of whether the service is subsequently utilized, postponed, canceled, abandoned, or left unused by the Client.

In the absence of a signed Service Agreement, a confirmed reservation shall nevertheless create a valid payment obligation. The Client shall be required to pay an amount equivalent to at least the lowest applicable package or service tier reserved for the corresponding service.

c. Payment Obligation for Reserved Services

The Client agrees to settle all fees and charges relating to any reserved service within eight (8) calendar days from the date of reservation confirmation, regardless of whether the service has commenced, been completed, or ultimately utilized by the Client. Failure to make payment within the prescribed period shall subject the account to applicable interest charges, collection efforts, and other remedies available to WebTech I.T. Solutions under law and contract.

d. Right to Withhold Deliverables and Access

WebTech I.T. Solutions reserves the absolute right to suspend services, withhold deliverables, delay publication or deployment, refuse turnover of completed work, and deny the transfer of ownership, administrative access, account credentials, hosting accounts, domain names, source codes, files, databases, social media accounts, marketing assets, or any other project-related materials until all outstanding balances, fees, charges, penalties, and applicable taxes have been fully paid and cleared. The Client acknowledges that no deliverable, account access, or transfer obligation shall arise on the part of WebTech I.T. Solutions while any amount remains unpaid.

10. Limitation of Liability

To the maximum extent permitted by law, WebTech I.T. Solutions shall not be liable for:

• Loss of profits
• Loss of business opportunities
• Data loss
• Service interruptions
• Indirect, incidental, consequential, or special damages

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

11. Warranties Disclaimer

All services are provided on an "as-is" and "as-available" basis.

WebTech does not guarantee:

• Specific search engine rankings
• Continuous website uptime
• Specific sales or marketing results
• Compatibility with future third-party software updates

While we strive to provide high-quality services, results may vary based on numerous external factors.

12. Confidentiality

Both parties agree to keep confidential information private and not disclose proprietary business information to unauthorized third parties unless required by law.

13. Acceptable Use

Clients may not use WebTech services for:

• Illegal activities
• Fraudulent transactions
• Malware distribution
• Copyright infringement
• Defamation
• Spam or unauthorized marketing
• Activities that violate applicable laws or regulations

WebTech reserves the right to refuse or terminate services associated with prohibited activities.

14. Amendments

WebTech I.T. Solutions reserves the right to modify these Terms at any time.

Updated versions will be posted on our website with a revised effective date.

Continued use of our services constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

Any disputes arising from these Terms shall first be resolved through good-faith negotiations. If resolution cannot be achieved, the matter shall be submitted to the appropriate courts having jurisdiction.
